As part of the Offering, the members of the General Partner’s management board (Vorstand der Komplementärin) (the “GP Management Board”) and certain members of the supervisory boards of the Company (the “Company Supervisory Board”) and the General Partner (the “GP Supervisory Board”) as well as certain members of the extended management team intend to acquire Offer Shares for a defined EUR investment amount on a preferential basis at the Offer Price.
